This End User License Agreement ("Terms" or "EULA") is a binding legal contract between you ("You," "Your," or "User") and Ata Travel Ltd. ("Company," "We," "Us," or "Our"), regarding your use of the XC Thermal application (the "Service").
By creating an account, clicking "I agree," or by accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately stop all use of the Service.
You agree that the Service, including but not limited to all software, code (source and object), graphics, design, logos, user interfaces, "look and feel," and all other materials, content, and functionality, is and will remain the exclusive and sole property of Ata Travel Ltd.
The Service is protected by copyright, trademark, trade secret, and other intellectual property laws. All rights are reserved. Our name, logos, and branding are trademarks of Ata Travel Ltd. and may not be used in any way, for any purpose, without our prior express written consent.
We grant you a single, limited, non-exclusive, non-transferable, non-sublicensable, and fully revocable license to use the Service strictly for your personal, non-commercial purposes, subject to your full compliance with these Terms.
Under this license, you are strictly prohibited from doing, or attempting to do, any of the following:
Any use of the Service not expressly permitted by these Terms is a breach of this agreement and a violation of intellectual property law. All rights not expressly granted to you are reserved by Ata Travel Ltd.
To use the Service, you must create an account. You agree to provide information that is accurate, complete, and current. Failure to do so constitutes a breach of the Terms.
You are solely responsible for all activity that occurs under your account and for safeguarding your password. You must notify us immediately upon learning of any breach of security or unauthorized use of your account.
The Service may allow you to purchase virtual credits ("Credits") for a fee. All purchases are processed by our third-party payment processor (e.g., Stripe). We do not store your credit card information.
Credits are a limited license to access certain features of the Service. They are not real currency, have no monetary value, and cannot be redeemed for cash, goods, or services outside of the Service. All sales of Credits are final. You acknowledge that we are not required to provide a refund for any reason.
We reserve the right to manage, regulate, control, modify, or eliminate Credits at any time, with or without notice. We shall have no liability to you or any third party if we exercise such rights. If your account is terminated, you will forfeit all accumulated Credits.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY LAW, ATA TRAVEL LTD. EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE: (A) UNINTERRUPTED, SECURE, OR ERROR-FREE; (B) FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (C) THAT ANY DATA OR RESULTS WILL BE ACCURATE OR RELIABLE.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ATA TRAVEL LTD., ITS DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES) ARISING FROM:
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS RELATING TO THE SERVICE SHALL NOT, IN ANY CIRCUMSTANCES, EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US FOR CREDITS IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
You agree to defend, indemnify, and hold harmless Ata Travel Ltd. and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt (including but not limited to attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any part of these Terms; or (c) your violation of any third-party right, including any intellectual property or privacy right.
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.
You may terminate your account by ceasing all use of the Service.
Upon termination, your right to use the Service will immediately cease, and all Credits will be forfeited. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms shall be governed by the laws of United Kingdom , without regard to its conflict of law provisions. All disputes shall be subject to the exclusive jurisdiction of the courts located in London.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes. By continuing to use the Service after revisions become effective, you agree to be bound by the revised terms.
If any provision of these Terms is held to be invalid or unenforceable, that provision will be struck, and the remaining provisions will be enforced. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
